We appreciate your decision to become a Talk2MyLawyer(TM) Affiliate. We look forward to your contribution in helping us to achieve our mission to deliver service excellence in Legal Care. This agreement serves to clarify our mutual understanding of the relationship between You (the "Affiliate") and MYTRAFFICMAN CORPORATION, ("MYTRAFFICMAN"). We encourage you to review it carefully and continue only if you completely understand it and agree to all of its terms.
As a Talk2MyLawyer(TM) Affiliate, you will enjoy access to a mobile friendly, messaging technology that helps you deliver business excellence to your clients.
Affiliate agrees to perform work associated with CHAT REQUESTS assigned to and accepted by Affiliate upon the terms set forth in this agreement. This agreement contains our entire understanding and supersedes any prior oral or written agreements. Our understanding may not be changed orally, but only by a written amendment. If any provision is unenforceable, the remaining provisions shall remain in effect.
NOW THEN, IN CONSIDERATION OF THE MUTUAL PROMISES CONTAINED HEREIN, AND FOR OTHER GOOD AND VALUABLE CONSIDERATION, AFFILAITE AND MYTRAFFICMAN AGREE AS FOLLOWS:
Our mission is to provide Service Excellence and to provide service and support that is unparalleled in the legal profession and we expect Affiliates to also deliver Service Excellence to their Clients as follows:
First, we expect you to provide outstanding legal advice in the traditional sense-thorough analysis of each question, as time allows identification of key issues, and development of great defense strategy.
Second, Affiliate shall treat Talk2MyLawyer(TM) Users with dignity, and respect at all times. We believe this means doing everything that is legal and ethical and serves the User's best interests, as well as performing the functions described in this agreement to the standards described herein.
Third, Affiliate shall continue to control and/ or direct the manner in which services are to be performed and will maintain independent hours, and identity as a Law Practice. As an Affiliate, you will have limited license to MYTRAFFICMAN trademarks as described below, but you agree to Indemnify and Hold MYTRAFFICMAN harmless from any action in law or equity raised by your Chat Conversations based on the advice you provide to them.
UNLESS OTHERWISE INDICATED DURING REGISTRATION, AFFILIATE AGREES TO PAY MYTRAFFICMAN FOR ACCESS TO THE Talk2MyLawyer Product $1,000.00. PAYMENT SAHLL BE DUE UPON THE REGISTRATION.
Talk2MyLawyer(TM) is a proprietary MYTRAFFICMAN technology that is offered to AFFILIATE based on the additional terms outlined in this paragraph. Limited License: Affiliate is authorized to advertise they are a Talk2MyLawyer(TM) Affiliate. Affiliate agrees to subscribe to CLIO PRACTICE MANAGEMENT SOFTWARE and use it properly, and to give MYTRAFFICMAN access to the subscription to install Talk2MyLawyer(TM) features. Affiliate agrees to pay a tech support fee of $250 for installation of the features. Affiliate acknowledges that MYTRAFFICMAN is authorized by Affiliate to advertise affiliates name on Talk2MyLawyer(TM). Affiliate agrees to make diligent efforts to respond to Chat Requests. Chat Request shall mean text or email from MYTRAFFICMAN notifying Affiliate that a Talk2MyLawyer(TM) user is requesting to chat with Affiliate. non-criminal, civil traffic infractions. MYTRAFFICMAN agrees to provide Tech-Support & Customer Service to users, but Affiliate shall provide responses to Chat Requests as described in the Relationship Responsibilities described above, and according to the terms of this agreement.
COUNTIES:
Affiliate agrees to respond to Chat Requests for the Counties they choose during registration. Affiliate is encouraged not to select counties greater than 25miles away from the physical location of their primary office. MYTRAFFICMAN reserves the right to disqualify Affiliate from any county at MYTRAFFICMAN's sole discretion on 10 days written notice. Affiliate agrees to maintain a physical address for receipt of service, meeting with clients, and conducting business.
MYTRAFFICMAN reserves the right to charge users a fee for using the Talk2MyLawyer(TM) technology to chat with Affiliate. Any fee paid by a Talk2MyLawyer(TM) user shall be considered MYTRAFFICMAN revenue and no part of those fees are due or payable to Affiliate.
Affiliate is responsible for your own expenses related to telephone or data usage or internet fees and other administrative expenses incurred while responding to a Chat Request.
In event this agreement is canceled or Affiliate is no longer responding to Chat Requests, Affiliate agrees to immediately stop advertising the with any MYTRAFFICMAN ASSETS including but not limited to logos, brands and trademarks.
You represent to us that you are duly licensed and in good standing with every State Bar and/or the highest court of every State in which you are admitted to practice law. You further warrant that you have no public disciplinary record, you are insurable for errors and omissions coverage, and you have never been disbarred in any jurisdiction. You further warrant that you have complied and will comply with all laws, regulations, and continuing education requirements applicable to you, and that you are in compliance with all applicable laws regarding business licenses and permits. You represent to us that you are licensed and insured to operate motor vehicles.
MYTRAFFICMAN reserves the right to amend the Talk2MyLawyer(TM) subscription from time to time upon 30 days written notice to AFFILIATE for purposes of administering promotions. AFFILIATES agree to cooperate in State Wide promotions offered by MYTRAFFICMAN to Users of the Talk2MyLawyer(TM) technology. Affiliate also agrees to maintain a mobile optimized website and place a Talk2MyLawyer(TM) widget in a very visible and premium location on the homepage.
You acknowledge that you will gain access to trade secrets, proprietary, and confidential information including, but not limited to business plans, systems, law practice techniques, marketing data, sources, and techniques, client and potential client names, contact information. This information is the property of MYTRAFFICMAN and may not be used in any manner without the prior express written consent of MYTRAFFICMAN. Furthermore, any Code, Intellectual Property, Source Code, Copyrighted Materials, Trademarks, Service marks associated with MYTRAFFICMAN products and services remains the exclusive property of MYTRAFFICMAN. Provided, however, Affiliate may use certain confidential information for purposes of implementing the software licenses granted herein and in Law Practice marketing materials as a MYTRAFFICMAN AFFILIATE. You also acknowledge that you permit MYTRAFFICMAN to include your name in marketing materials.
This contract is non-transferable. It is enforceable only by Affiliate and MYTRAFFICMAN. If you sell, give away, or attempt to transfer the licenses and authorizations granted herein, without prior written notice and express consent of MYTRAFFICMAN, this contract becomes immediately void.
AFFILIATE agrees to uphold the following standards:
MYTRAFFICMAN RESERVES THE RIGHT TO TERMINATE THIS AGREEMENT ON 30 DAYS WRITTEN NOTICE TO AFFILIATE. TERMINATION PROCEDURE WILL BE AS FOLLOWS: Affiliate will complete any Chat Request until the Date of Cancellation which shall be inducted in the notice, for any unused portion of the subscription fees shall be refunded to Affiliate.
Violations of the conditions contained in this agreement may, at the option of MYTRAFFICMAN, result in termination of this agreement and the forfeiture of any fees owing to you upon such termination, in addition to recovery of any other damages sustained by MYTRAFFICMAN as a proximate result of such violations.
